These Terms of Service (“Terms”) govern your access to and use of the WhatsApp messaging portal and related services (the “Service”) provided by The Define Ink (“The Define Ink,” “we,” “us,” or “our”).
By connecting a WhatsApp Business Account to the Service or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
The Service is a business messaging portal built on the WhatsApp Business Platform (Cloud API) provided by Meta Platforms, Inc. (“Meta”). It allows a business to connect its WhatsApp Business Account (“WABA”) and business phone numbers, receive and view incoming WhatsApp messages, reply to those messages, manage message templates, and review categorized enquiries.
We act as a technology provider. We facilitate your use of Meta’s platform; we do not control Meta’s platform, its availability, its pricing, or its policies.
2. Eligibility and Authority
You may use the Service only if you are able to form a binding contract and are using it for business purposes.
You represent and warrant that you have the authority to connect the WhatsApp Business Account, business portfolio, and phone numbers that you onboard, and to grant us the permissions required to operate the Service on your behalf.
You must not connect assets belonging to another business without that business’s authorization.
3. Your Account and Credentials
You are responsible for maintaining the confidentiality of any credentials used to access the Service and for all activity that occurs under your access.
Access tokens obtained when you connect your WhatsApp Business Account are stored server-side and are used only to operate the Service for you. You may revoke our access at any time through your Meta Business settings, which will stop the Service from functioning for your account.
Please notify us promptly if you believe your access or credentials have been compromised.
4. Acceptable Use
You agree that you will not use the Service to:
- Send unsolicited messages, spam, or bulk messages to recipients who have not opted in.
- Send unlawful, fraudulent, deceptive, harassing, defamatory, or obscene content.
- Infringe the intellectual property or privacy rights of any person.
- Distribute malware or attempt to gain unauthorized access to any system or account.
- Interfere with, disrupt, overload, or probe the Service or its infrastructure.
- Circumvent any rate limits, access restrictions, or security controls.
- Resell or provide access to the Service to third parties without our written agreement.
- Violate any applicable law or regulation.
5. Compliance With Meta Policies
Your use of the Service is also subject to Meta’s terms and policies, including the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service, and Meta Platform Terms.
You are responsible for complying with those policies, including:
- Obtaining valid opt-in consent before messaging a person.
- Honouring opt-out and stop requests promptly.
- Respecting the customer service window rules for non-template messages.
- Using approved message templates where a template is required.
- Not using prohibited or restricted content categories.
Meta may review, reject, pause, or remove message templates, restrict message throughput, or limit or disable a phone number or WhatsApp Business Account. These decisions are made by Meta and are outside our control.
6. Message Content and Data
You retain ownership of the content of the messages you send and receive through the Service.
You grant us the limited right to process, store, and display that content solely to provide the Service to you, including storing conversation history, categorizing enquiries, and maintaining records needed for reliable delivery and support.
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
You are responsible for having a lawful basis to process the personal information of the people you message through the Service, and for providing them any notices required by applicable law.
7. Automated Categorization
The Service may use automated processing, including machine learning models, to categorize incoming messages and extract enquiry details such as intent, product interest, or quantity.
This categorization is provided as an aid only. It may be incomplete or incorrect, and it should not be relied upon as the sole basis for a business decision. You are responsible for reviewing message content before acting on it.
8. Fees and Meta Charges
Meta charges for conversations and message delivery under its own pricing. Those charges are billed to the WhatsApp Business Account owner, not to us.
Where required by Meta, you must add and maintain a valid payment method in WhatsApp Manager. We are not responsible for message delivery failures caused by unpaid balances, missing payment methods, or billing restrictions on your account.
Any fees payable to us for the Service will be agreed separately in writing.
9. Availability, Changes, and Suspension
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, or because of failures in third-party services including Meta’s platform, hosting providers, or network operators.
We may add, change, or discontinue features, and we may suspend or restrict access where reasonably necessary to protect the Service, comply with law or Meta policy, address a security risk, or respond to misuse.
10. Termination
You may stop using the Service at any time, and you may disconnect your WhatsApp Business Account through your Meta Business settings.
We may suspend or terminate your access if you breach these Terms, if required by law or by Meta policy, or if your use creates a security, legal, or platform-compliance risk.
On termination, your right to use the Service ends. Data retention and deletion after termination are handled as described in our Privacy Policy.
11. Third-Party Services
The Service depends on third-party services, including Meta’s WhatsApp Business Platform and our hosting and infrastructure providers. Those services are governed by their own terms and policies.
We are not responsible for the acts, omissions, availability, or policies of third-party services we do not control.
12. Intellectual Property
The Service, including its software, interface, and documentation, remains our property or that of our licensors. These Terms do not transfer any ownership in the Service to you.
You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by applicable law.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.
We do not warrant that messages will be delivered, that templates will be approved, or that the Service will meet your specific requirements.
14. Limitation of Liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or relating to your use of the Service.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Indemnity
You agree to indemnify and hold us harmless from claims, damages, liabilities, and reasonable expenses arising from your use of the Service in breach of these Terms, your message content, or your violation of applicable law or Meta policy.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Your continued use of the Service after an update means you accept the revised Terms.
17. Governing Law
These Terms are governed by the laws of India, and the courts of India will have jurisdiction over any dispute arising from them, except where applicable law gives you the right to bring a claim elsewhere.
